Terms of Service

These Terms of Service (Terms) govern access to and use of the wholesale voice, numbering, messaging and related services provided by Hadlo Technologies, LLC (Hadlo). Specific commercial terms are set out in the service agreement or order between you and Hadlo; these Terms supplement that agreement.
1. Services
Hadlo provides wholesale telecommunications services, which may include SIP termination, origination, DID and toll-free numbering, messaging, and access to the Hadlo customer portal and APIs. Service specifics, rates, and capacity are as set out in your service agreement, order, or applicable rate sheet.
2. Acceptable use
Your use of the services is subject to the Hadlo Acceptable Use Policy, which is incorporated into these Terms. Violation of the AUP is a material breach of these Terms.
3. Compliance
You are responsible for complying with all applicable laws and regulations governing your traffic, including caller identification, robocall mitigation, STIR/SHAKEN, and consumer protection requirements, and for the compliance of your downstream customers and upstream sources.
4. Billing and payment
Charges are calculated in accordance with your service agreement and applicable rate sheet. Usage is rated dual-leg and by jurisdiction. Invoices are payable on the terms stated in your agreement. Hadlo may require prepayment, deposits, or credit limits.
5. Suspension and termination
Hadlo may suspend or terminate services, in whole or in part, for non-payment, for violation of these Terms or the AUP, in response to tracebacks or enforcement actions, for demonstrated illegal or fraudulent traffic, upon delisting from the Robocall Mitigation Database, or as required by law or regulators.
6. Warranties and liability
Except as expressly stated in your service agreement, the services are provided on an as-available basis. To the maximum extent permitted by law, Hadlo disclaims implied warranties and limits its liability as set out in your service agreement. Nothing in these Terms limits liability that cannot be limited by law.
7. Governing law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles, except where your service agreement specifies otherwise.
8. Changes
Hadlo may update these Terms from time to time. Material changes will be communicated through the service or by notice, and continued use of the services after an update constitutes acceptance.
